By using our services, you agree to these Terms of Service. Please read them carefully to understand our mutual rights and responsibilities.

Scope and Change Control

Deliverables are limited to the approved quote, proposal, or statement of work. Any work outside approved scope is treated as a written change request with updated cost and timeline.

  • - Timelines are estimates unless a fixed delivery date is expressly agreed in writing.
  • - Third-party fees (hosting, domain, plugins, SaaS, API usage) are billed to the client unless otherwise stated.
  • - Delays caused by missing client content, credentials, or approvals extend delivery dates accordingly.
  • - Client is responsible for providing accurate content, timely approvals, and lawful use of delivered systems.

Milestones, Approval, and Revisions

  • - Each milestone includes up to two revision rounds limited to agreed scope.
  • - Feedback windows are five business days unless another window is set in writing.
  • - Milestones are considered approved when confirmed by email, WhatsApp, or written acceptance note.
  • - Major directional changes after approval require a paid change order.

Payment and Enforcement

Payment follows the Payment Policy and invoice schedule. COWebs.lb may pause work, disable staging access, or withhold final handoff when invoices are overdue.

  • - Deposits are non-refundable once discovery or design work has started.
  • - All invoices are payable in USD unless explicitly agreed otherwise in writing.
  • - Chargeback disputes require written notice and may trigger immediate project suspension.

Intellectual Property and Licensing

  • - Ownership of custom deliverables transfers only after full and cleared payment.
  • - Reusable internal frameworks, snippets, and tooling remain property of COWebs.lb and are licensed to the client for project use.
  • - Third-party themes, fonts, plugins, and APIs remain governed by their own license terms.
  • - Portfolio display rights apply to non-confidential work unless prohibited by signed NDA.

Confidentiality and Security

  • - Business data, credentials, analytics, and documentation are treated as confidential information.
  • - Confidentiality obligations survive termination or completion of the engagement.
  • - Credentials are stored in secure tools and may be deleted from active environments within 30 days of handoff unless retention is requested.

Support and Warranty Limits

  • - Post-launch bug fixes are included only within the stated support window.
  • - Failures caused by third-party providers, hosting vendors, or client-side changes are out of warranty scope and billed separately.
  • - COWebs.lb commits to commercially reasonable efforts to deliver stable and functional systems throughout the agreed scope.
  • - Services are provided as delivered for agreed scope; uninterrupted uptime, ranking results, or traffic outcomes are not guaranteed.

Termination and Suspension

  • - Either party may terminate for material breach not cured within 10 days of written notice.
  • - COWebs.lb may suspend work immediately for non-payment, abusive or unprofessional conduct, or unlawful requests.
  • - On termination, all completed and in-progress billable work becomes immediately due.
  • - Payment, confidentiality, IP, and liability clauses survive termination.

Liability, Law, and Disputes

  • - COWebs.lb is not liable for indirect, incidental, or consequential damages.
  • - Total liability is capped at fees paid for the affected project phase.
  • - Parties agree to attempt good-faith resolution within 15 business days before formal proceedings.
  • - These terms are governed by Lebanese law and handled by competent courts of Beirut unless both parties agree to arbitration.
