Software Terms of Service

Scope of Services

COWebs.lb provides bespoke desktop software, automation pipelines, internal dashboards, and related consulting. Deliverables are documented in the approved proposal. Any work requested outside that scope will be quoted separately.

• Deliverables include source code, installer packages, documentation, and training per proposal.
• Third-party licenses, APIs, or SaaS fees are billed to the client unless stated otherwise.

Feedback & Revisions

• Each milestone includes up to two revision rounds focused on the functionality delivered.
• Feedback windows last five business days. Missing a window may shift the launch timeline.
• Major directional changes after approval are considered new scope.

Payments

Milestone terms follow the Payment Policy. Work pauses automatically when invoices are overdue.

• Deposits are non-refundable once discovery assets are handed over.
• Retainers renew monthly until either party gives 30 days written notice.

Intellectual Property

• Upon final payment, the client owns the compiled software, UI, and custom code produced.
• Reusable internal libraries and tooling remain property of COWebs.lb, but lifetime usage is granted.
• COWebs.lb may showcase non-confidential screenshots in portfolios unless prohibited by NDA.

Confidentiality & Security

All shared data, databases, and credentials are treated as confidential.

• Credentials are stored in encrypted vaults and rotated after project completion.
• Security audits or penetration testing can be arranged for an additional fee.

Support & Warranty

• Bug fixes within 30 days of launch are complimentary.
• Operational issues caused by external vendors, API outages, or infrastructure are billed hourly.
• Retainer clients receive priority support per their SLA.

Termination

• Either party may terminate with written notice if the other materially breaches the agreement and fails to cure within 10 days.
• On termination, all unpaid work becomes due immediately and deliverables produced to date are handed over.
